Terms of Service
Terms governing use of the AssesPro platform.

These Terms of Service ("Terms") govern access to and use of the AssesPro website, platform, and related services (collectively, the "Service") operated by AssesPro ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. About the Service
AssesPro is a digital platform for managing electronic portfolios of evidence (e-PoE), competency-based assessments, verification workflows, validation processes, and related reporting for TVET institutions in Kenya. Features may vary depending on your subscription plan and institutional configuration.
2. Eligibility and Authority
The Service is intended for use by TVET institutions, training centres, polytechnics, and their authorised personnel. If you register or use the Service on behalf of an institution, you represent that you have authority to bind that institution to these Terms.
3. Accounts and Access
- Institutions are responsible for creating and managing user accounts for administrators, assessors, internal verifiers, validators, and other authorised roles.
- You must keep login credentials confidential and notify us promptly of any unauthorised access.
- We may suspend or terminate accounts that violate these Terms or pose a security risk.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or unauthorised purposes;
- Upload malicious code, attempt to breach platform security, or interfere with system operation;
- Access data belonging to other institutions or users without permission;
- Misuse assessment records, evidence files, or reporting outputs;
- Reverse engineer, copy, resell, or sublicense the Service except as expressly permitted in writing.
5. Institution Responsibilities
Institutions using the Service are responsible for:
- Ensuring accuracy and lawfulness of data uploaded to the platform;
- Obtaining necessary consents from learners, staff, and other data subjects;
- Compliance with KNQA, CDACC, and other applicable TVET assessment and qualification standards;
- Maintaining internal policies for assessment, verification, validation, and record retention;
- Training users on proper platform use and data handling practices.
6. Learner and Assessment Data
Institutions retain ownership and control of learner records, evidence, and assessment data submitted to the platform, subject to these Terms and any applicable service agreement. We process such data solely to provide and support the Service.
7. Subscription, Fees, and Trials
Paid features, pricing, billing cycles, and renewal terms are defined in your quotation, order form, or subscription agreement. Failure to pay applicable fees may result in suspension of access. Any free trial or demo access is provided "as is" and may be withdrawn at any time.
8. Intellectual Property
The Service, including software, branding, documentation, and website content, is owned by AssesPro or its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of the Service or its underlying technology. Institution-uploaded content remains the property of the institution or respective rights holders.
9. Service Availability and Support
We aim to maintain reliable platform availability and provide support during agreed service hours. Scheduled maintenance, upgrades, or events beyond our reasonable control may cause temporary interruptions. We do not guarantee uninterrupted or error-free operation.
10. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet every institutional requirement or regulatory interpretation without appropriate configuration and use.
11. Limitation of Liability
To the maximum extent permitted by law, AssesPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from use of the Service. Our total liability for any claim relating to the Service shall not exceed the fees paid by the institution for the Service in the twelve (12) months preceding the event giving rise to the claim, except where liability cannot be excluded by law.
12. Indemnity
Institutions agree to indemnify and hold harmless AssesPro from claims, losses, and expenses arising from institution content, misuse of the Service, violation of these Terms, or breach of applicable law, except to the extent caused by our gross negligence or wilful misconduct.
13. Confidentiality
Each party agrees to protect confidential information received from the other and to use it only for purposes related to the Service, except where disclosure is required by law or authorised in writing.
14. Termination
Either party may terminate access according to the applicable subscription agreement. We may suspend or terminate access immediately for material breach, security concerns, or non-payment. Upon termination, institutions should export required records within any agreed transition period. Provisions that by nature should survive termination will continue to apply.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Kenya. Parties agree to attempt good-faith resolution of disputes before pursuing formal proceedings. Subject to mandatory legal provisions, courts in Nairobi, Kenya shall have jurisdiction.
16. Changes to These Terms
We may revise these Terms from time to time. Updated Terms will be posted on this page with a revised date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
